Explanation of Responses:

1. Each share of phantom stock was the economic equivalent of one share of PlayAGS, Inc. common stock. The Company settled 100% of these shares of phantom stock for shares of PlayAGS, Inc. common stock.

2. The amount of beneficially owned securities includes 868,321 shares of common stock and 723,851 unvested restricted stock units.

3. The phantom stock units vest ratably in equal annual installments on each of the first four anniversaries following the grant date, subject generally to the participant's continued employment through the vesting date.
