Item 1.01. Entry into Material Definitive Agreement.
On June 26, 2012, Ocean Electric Inc. (the “Company”) entered into a Loan Agreement with Zenith Equity Group Ltd. (the “Loan Agreement”) providing for a loan of $450,000.00 to the Company (the “Loan”). The Loan Agreement includes customary representations, warranties and covenants. The Loan will accrue simple interest of 3.5% on the outstanding principal amount from the date funds are advanced until paid in full and is due on or before June 27, 2015.
