Explanation of Responses:

1. The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person to meet tax obligations relating to the vesting and delivery of certain restricted stock units.

2. Holdings reflect the adjustments that occurred as of April 4, 2022 in connection with the spin-off of ESAB Corporation by the Issuer. In connection with the spin-off, each outstanding restricted stock unit was adjusted to preserve the intrinsic value of such award by multiplying it by an equity exchange ratio, rounded down to the nearest whole unit. In addition, holdings have been updated to reflect the impact of the one-for-three reverse stock split effected by the Issuer on April 4, 2022.
