Explanation of Responses:

1. On September 9, 2016, the Reporting Person exercised his stock option received pursuant to an agreement dated April 16, 2014 to purchase 10,000 shares of the Issuer's common stock at a price of $27.09 per share.

2. On September 9, 2016, the Reporting Person sold 10,000 shares of the Issuer's common stock on the open market at a price of $52.4577 per share. As of the date of this Filing, the Reporting Person does not own any share of common stock of the Issuer other than options to purchase a total of 15,000 shares of common stock.
