Explanation of Responses:

1. The shares subject to the Restricted Stock Award shall vest in three (3) equal annual installments beginning from February 15, 2017, subject to Dr. Joshi's Continuous Service (as defined in the Issuer's 2014 Equity Incentive Plan (the "Plan")) on each vesting date.

2. The shares subject to the stock option shall vest in forty-eight (48) equal monthly installments beginning from January 26, 2017, subject to Dr. Joshi's Continuous Service (as defined in the Plan) on each vesting date.
