2. The reporting person acquired 20,000 shares of Series D Preferred Stock that is convertible at any time, into 80,000 shares, subject to adjustment, of the common stock of the Issuer. Each share of Series D Preferred Stock is convertible into four (4) shares of common stock of the Issuer.
