Item 1.01 Entry into a Material Definitive Agreement.
On September 8, 2006, Mick Miller, the Company's President and General Manager, was granted 150,000 restricted Class A Membership Units, effective as of July 7, 2005, the date he formally began working in the role of General Manager, (the "Grant Date"). The Units vest over a ten year period from the Grant Date in 15,000 Unit increments; however, the Units vest immediately upon change of control.
