Explanation of Responses:

1. Each depositary share reported on the reporting person's Form 4 filed on December 29, 2015 represented a 1/10th interest in a share of the issuer's 5.25% Series A Mandatory Convertible Preferred Stock (Convertible Preferred Stock). The conversion rate for each depositary share could be not more than 0.73394 shares of the issuer's common stock and not less than 0.58716 shares of the issuer's common stock depending on the applicable market value of the common stock. On September 14, 2018, each share of Convertible Preferred Stock was converted into 7.3394 shares of the issuer's common stock.
