Explanation of Responses:

1. Mr. Becker executed this transaction in order to have shares of Vitamin Shoppe, Inc. held in a non-retirement account converted into cash and the cash was then contributed into a retirement account, as shares of stock would not qualify as a contribution. The cash in the retirement account was then used to purchase shares of Vitamin Shoppe, Inc.
