Explanation of Responses:

1. Each Restricted Stock Unit represents a contingent right to receive one share of MMAT common stock.

2. The Restricted Stock Units vest in full coincident with the termination of the reporting person membership on the Board of Directors of the Corporation. Each unit is convertible at the option of the reporting person no later than December 1 of the first calendar year commencing after the time which the reporting person ceases to be a service provider of MMAT.
