On May 22, 2009, DCP Holding Company (the “Corporation”) filed a Certificate of Amended and Restated Articles of Incorporation (the “Articles”) with the Secretary of State of the State of Ohio. The Amended and Restated Articles of Incorporation were adopted by the Board of Directors on May 13, 2009 to consolidate the original articles and all previously adopted amendments thereto.
The Amended and Restated Articles are attached hereto as Exhibit 3.1.
