Item 8.01 Other Events
On February 19, 2007 the Registrant’s Board of Directors, approved a cash distribution of $80.21 per membership unit or a total of $2,121,313.87 to its unit holders of record as of February 19, 2007. The distribution will be paid no later than March 1, 2007.
A copy of the letter to unit holders dated February 22, 2007, announcing and describing this distribution was mailed to all unit holders on February 23, 2007 and is attached hereto as Exhibit 99.1. Pursuant to the rules and regulations of the Securities and Exchange Commission, such exhibit and the information set forth therein and herein shall not be deemed to be filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), and shall not be deemed to be incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
