Item 8.01. Other Events.
On October 22, 2019, the Company completed the previously announced sale of its North American vacation rentals business to Vacasa LLC (“Vacasa”) for a purchase price of $162 million. After customary closing adjustments, the Company received $156 million in cash and $10 million in Vacasa equity. The purchase agreement contains customary post-closing adjustments.
On October 23, 2019, Vacasa issued a press release announcing its purchase of Wyndham Vacation Rentals. A copy of the press release is attached hereto as Exhibit 99.1
