1. Issued pursuant to the Director Compensation Policy, effective May 2019.

2. Consists of shares beneficially owned (as that term is defined in Rule 13d-3 of the Securities Exchange Act of 1934, as amended) by funds managed by Sarissa Capital Management LP ("Sarissa Capital"). Dr. Denner is the Chief Investment Officer of Sarissa Capital and controls the ultimate general partner of Sarissa Capital and each of the funds managed by Sarissa Capital. By virtue of the foregoing, Dr. Denner may be deemed to indirectly beneficially own the shares that these funds directly beneficially own. Dr. Denner disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein.
