Item 8.01 Other Events.
On January 26, 2007, EV Energy Partners, L.P. (the “Partnership”) issued a press releasse announcing that its Board of Directors has declared a cash distribution for the fourth quarter of 2006 of $0.40 per unit for all of its outstanding units. The distribution will be payable on February 14, 2007 to unitholders of record at the close of business on February 5, 2007. The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
