Explanation of Responses:

1. On February 24, 2017, the Compensation Committee of the Company's Board of Directors awarded the reporting person performance stock units under the Danaher Corporation 2007 Omnibus Incentive Plan. This Form 4 is being filed in connection with the determination by the Compensation Committee that the performance criteria of the award have been achieved. The award remains subject to a holding period that continues through December 31, 2021.

2. This amendment is being filed to correct the number of shares reported in Table I, Column 4 from 29,855 to 59,710.
