A news release was disseminated on December 22, 2017 through the facilities of Newsfile and subsequently filed on SEDAR to announce the completion of the first tranche.
Item 4 | Summary of Material Change |
On December 22, 2017, the Company completed the first tranche of a non-brokered private placement consisting of 2,500,000 flow-through shares at a price of $0.145 per share for gross proceeds of $362,500. On December 29, 2017, the Company completed the second tranche of the same private placement, consisting of 1,237,400 flow-through shares also priced at $0.145 for additional gross proceeds of $179,423, bringing the total to 3,737,400 flow-through shares issued for gross proceeds of $541,923.

On December 22, 2017, the Company completed the first tranche of a non-brokered private placement consisting of 2,500,000 flow-through shares at a price of $0.145 per share for gross proceeds of $362,500.
On December 29, 2017, the Company completed the second tranche of the same private placement, consisting of 1,237,400 flow-through shares also priced at $0.145 for additional gross proceeds of $179,423, bringing the total to 3,737,400 flow-through shares for gross proceeds of $541,923.
In conjunction with this private placement, Avalon paid finder’s fees of $19,140 and issued 132,000 non-transferrable finder’s warrants, with each finder’s warrant being exercisable to acquire one common share of the Company at a price of $0.15 for a period of 24 months from December 22, 2017. Pursuant to Canadian securities laws, the securities issuable under this private placement are subject to a hold period which expires four months and one day from the date of issuance.
The proceeds from this offering will be used primarily to advance exploration and development work on the Company’s Separation Rapids Lithium Project.
