Item 2.02 Results of Operation and Financial Condition.
Mid-America Bancshares, Inc. (the “Company”) expects to issue a press release announcing certain second quarter financial results on an unaudited basis. The press release is dated October 19, 2007, and a copy of the press release is being furnished as Exhibit 99.1 to this Current Report. Pursuant to the rules and regulations of the Securities and Exchange Commission, such exhibit and the information set forth therein and herein are deemed to be furnished and shall not be deemed to be “filed” under the Securities Exchange Act of 1934, as amended (“Exchange Act”) except to the extent required by law.

Registrant intends to issue a press release announcing second quarter 2007 earnings (unaudited). A copy of the press release is included in this Current Report as Exhibit 99.1. The registrant’s common stock is not listed or traded on any established securities exchange or in any established market (Exhibit 99.2).
