1. Shares of restricted stock granted pursuant to the Company's 2015 Equity Incentive Plan. One-third of the shares vest on each of June 14, 2022, April 9, 2023 and April 9, 2024 provided the Reporting Person has continuous service.

2. The option shall become exerciseable with respect to one-third of the shares subject to the option, on each of June 14, 2022, April 9, 2023 and April 9, 2024 provided the Reporting Person has continuous service.
