Item 8.01. Other Events.
In August 2003, SXC Health Solutions Corp. (“SXC”) entered into indemnity agreements with certain directors of SXC, including Terrence C. Burke. The form of such indemnity agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference. SXC is filing this Current Report on Form 8-K for the purpose of, among other reasons, incorporating the form of such indemnity agreement into its Registration Statement on Form S-3 (File No. 333-161237), which was filed with the Securities and Exchange Commission on August 10, 2009.
