Explanation of Responses:

1. In connection with the merger of Bridge Capital Holdings with and into Western Alliance Bancorporation on June 30, 2015 pursuant to the Agreement and Plan of Merger, dated March 9, 2015, as modifed, between Western Alliance and Bridge Capital, the reporting person received, 69,389 shares of Western Alliance common stock, together with $165,841 in cash, in exchange for the aggregate number of shares of Bridge Capital common stock reported herein.

2. In connection with the merger of Bridge Capital Holdings with and into Western Alliance Bancorporation on June 30, 2015 pursuant to the Agreement and Plan of Merger, dated March 9, 2015, as modifed, between Western Alliance and Bridge Capital, the reporting person received, 325 shares of Western Alliance common stock, together with $779 in cash, in exchange for the aggregate number of shares of Bridge Capital common stock reported herein.
