Explanation of Responses:

1. On May 31, 2024, the reporting person transferred 8,255 shares of Herc Holdings Inc. common stock to The Michael A. Kelly and Karen E. Kelly Living Trust for no consideration. The reporting person is trustee of the trust, and the reporting person and his spouse are the sole beneficiaries of the trust. The reporting person remains the beneficial owner of the securities held by the trust.

2. On June 3, 2024, the reporting person transferred 9,399 shares of Herc Holdings Inc. common stock to The Michael A. Kelly and Karen E. Kelly Living Trust for no consideration. The reporting person is trustee of the trust, and the reporting person and his spouse are the sole beneficiaries of the trust. The reporting person remains the beneficial owner of the securities held by the trust.
