On July 26, 2012, the Board of Directors of BlackRock, Inc. (the “Company”) elected Fabrizio Freda and Jessica Einhorn to serve as directors of the Board. Mr. Freda is President and Chief Executive Officer of The Estée Lauder Companies and Ms. Einhorn is the former Dean of the Paul H. Nitze School of Advanced International Studies (SAIS) at The John Hopkins University. Ms. Einhorn joined the Board immediately and Mr. Freda will join in October 2012.
The Company issued a press release announcing the appointments of Mr. Freda and Ms. Einhorn to the Board of Directors on July 26, 2012. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
