Supplement to Notice of the Annual Meeting and Proxy Statement
Merrill Lynch Board Designee
Pursuant to our stockholder agreement with Merrill Lynch & Co., Inc. (“Merrill Lynch”), once Merrill Lynch and its affiliates have beneficially owned less than five percent of our capital stock for a period of 90 days, Merrill Lynch’s designee to our board of directors, currently Thomas K. Montag, is required to resign. We have waived this requirement in connection with our recently announced share repurchase transaction to allow Mr. Montag to continue to serve as a member of our board of directors, subject to future review by the board of directors.
