(d) Election of New Director
On October 8, 2013, the Board of Directors (the “Board”) of BlackRock, Inc. (the “Company”) elected Cheryl D. Mills to serve as a director of the Board. Ms. Mills was formerly Counselor and Chief of Staff to Secretary of State Hillary Clinton. Ms. Mills, who left the U.S. Department of State in February 2013, will join the Board on November 20, 2013 as an independent director.
The Company issued a press release on October 8, 2013 announcing the appointment of Ms. Mills. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
