The Registrant is unable to file its Annual Report on Form 10-K for the period ended December 31, 2007 in a timely manner because it cannot complete its consolidated financial statements within the prescribed time without unreasonable effort or expense. The Registrant will file its Form 10-K for the period ended December 31, 2007 no later than the fifteenth calendar day following the date on which the Form 10-K was due.

If so, attach an explanation of the anticipated change, both narratively and quantitatively, and, if appropriate, state the reasons why a reasonable estimate of the results cannot be made.
The Company anticipates significant changes in results of operations from the corresponding period for the last fiscal year. Some of those changes have already been reported during the year of 2007 in its Form 10-Q filed for March, June and September 2007. Some additional items may be reported for the fourth quarter of 2007. Due to the global shut down of operations in January 2008, a reasonable estimate of the results cannot be made at this time. Southland Health Services, Inc. resumed some of its operations in February and March 2008.
