Item 7.01 Regulation FD Disclosure.
On September 29, 2020, Spirit AeroSystems Holdings, Inc. (the “Company”) issued a press release announcing that Spirit AeroSystems, Inc., the Company’s direct wholly-owned subsidiary (“Spirit”), intends to offer senior secured first lien notes to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons in accordance with Regulation S under the Securities Act (the “Offering”). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
In connection with the Offering, Spirit is providing prospective purchasers with an offering memorandum that includes certain additional information, including the information attached hereto as Exhibit 99.2, which is incorporated by reference herein.
