Item 1.01 Entry into a Material Definitive Agreement.
On November 7, 2019, Leaf Group Ltd. (the “Company”) and subsidiaries of the Company party thereto (collectively with the Company, the “Borrowers”) entered into loan and security agreement (the “Credit Agreement”) for a 364-day senior secured working capital revolving line of credit with Silicon Valley Bank (the “Lender”). Under the Credit Agreement, the Borrowers may borrow up to the lesser of (i) $10.0 million, or (ii) 80% of eligible accounts receivable.
All obligations of the Borrowers under the Credit Agreement are secured by a security interest in substantially all of the assets of the Borrowers. Amounts outstanding under the Credit Agreement will bear interest at a floating rate equal to the greater of (i) WSJ Prime Rate plus 0.50%, or (ii) 5.0%. Pursuant to the terms of the Credit Agreement, the Borrowers agreed to pay an unused line fee of 0.20% per annum on the unused commitments. Amounts outstanding under the Credit Agreement are payable on or before November 7, 2020.
The Credit Agreement contains customary representations and warranties and customary reporting, affirmative and negative covenants, including, among other things, restrictions on indebtedness, liens, investments, mergers, acquisitions, dispositions, declarations of dividends and stock repurchases. In addition, the Borrowers are required to maintain on account with the Lender an amount not less than 85% (the “Required Percentage”) of the Borrowers’ global cash, provided that such amount may fall below the Required Percentage for a period of time not to exceed 10 consecutive business days each calendar month (but in no event can the amount be less than 75% of the Borrowers’ global cash). Furthermore, the Credit Agreement contains customary events of default that include, among others, failure to pay principal, interest or fees when due, failure to comply with the other terms of the Credit Agreement and related agreements, the occurrence of a material adverse change and certain insolvency-related events. The existence of an event of default would allow the Lender to terminate its lending commitments, demand repayment of its loans and otherwise exercise all rights and remedies of a secured creditor.
A copy of the Credit Agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference. The foregoing description of the Credit Agreement does not purport to be complete and is qualified in its entirety by reference to the Credit Agreement.
