1. The transactions reported on this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on August 4, 2015.

2. The reporting person has reported the weighted average sale price for the transactions reported on this line. The range of prices for the reported transactions is $19.10 to $19.13. The reporting person will provide, upon request by the Securities and Exchange Commission staff, the issuer or a security holder of the issuer, full information regarding the number of shares sold at each separate price.

3. This option vested in 25% installments on April 26, 2013, 2014 and 2015, and the remainder vests in a 25% installment on April 26, 2016.
