1. The reporting person is voluntarily reporting the acquisition of common stock pursuant to the issuer's Employee Stock Purchase Plan (ESPP) for the period July 1, 2017 through September 30, 2017. This transaction is exempt under Rule 16(b)-3(c).

2. The reporting person is voluntarily reporting the acquisition of common stock pursuant to the issuer's Employee Stock Purchase Plan (ESPP) for the period October 1, 2017 through December 31, 2017. This transaction is exempt under Rule 16(b)-3(c).

3. In accordance with the ESPP, these shares were purchased at 85% of the July 3, 2017 closing price of the issuer's common stock.
