Item 8.01 OTHER EVENTS
On December 10, 2007, the registrant, AmTrust Financial Services, Inc. (“AmTrust”) issued a press release that it had signed a definitive agreement to purchase the Unitrin Business unit (“UBI”) of Unitrin, Inc. in a cash transaction. Terms were not disclosed.
The agreement contains representations, warranties, covenants and indemnities which are customary for this type of transaction. The closing of the transaction is subject to regulatory approval and other customary closing conditions. A copy of the press release is attached as Exhibit 99.1 to this form 8-K.
