Item 1.01 | Entry into a Material Definitive Agreement. |
Effective April 8, 2015, AmTrust Financial Services, Inc. (the “Company”) entered into Amendment No. 2 (“Amendment”) to its Credit Agreement dated September 12, 2014, with JPMorgan Chase Bank, N.A., as Administrative Agent, KeyBank National Association and SunTrust Bank, as Co-Syndication Agents, Lloyds Bank PLC and Associated Bank, as Co-Documentation Agents, and the various lending institutions party thereto (as amended, the “Credit Agreement”). The Amendment modifies the restrictive covenant related to the nature of business to expand the types of business in which the Company may engage, provided that the revenues attributable to the Company’s core business shall at no time constitute less than 662/3% of the Company’s consolidated revenues. In addition, the Amendment modifies the financial covenant governing the required level of “consolidated net worth” to be maintained by the Company to correct a scrivener’s error contained in the originally executed Credit Agreement.
Certain of the lenders and their affiliates have provided, from time to time, and may continue to provide, investment banking, commercial banking, financial and other services to the Company, including letters of credit, depository and account processing services, for which the Company has paid and intends to pay customary fees.
