Item 1.02. | Termination of a Material Definitive Agreement |
On November 14, 2007, our subsidiary, Bank of the Carolinas (“BOC”), and Randolph Bank & Trust Company (“Randolph”), each terminated their merger agreement dated April 12, 2007, after Randolph’s shareholders did not approve the merger at Randolph’s meeting of shareholders. The agreement provided for Randolph to be merged into BOC and for Randolph’s outstanding common stock to be exchanged for shares of our common stock. Expenses we have incurred in connection with the transaction will be charged against our consolidated earnings during the fourth quarter of 2007. After adjustment for taxes, we currently expect that charge to reduce our consolidated earnings for the fourth quarter by approximately $430,000, or $0.11 per diluted share.
