Item 8.01 Other Events
On June 13, 2013, Homeland Energy Solutions, LLC (the "registrant") entered into an agreement with Steve Retterath, the registrant's largest equity holder, to repurchase and retire all of the units owned by Mr. Retterath. The registrant agreed to repurchase and retire 25,860 membership units owned by Mr. Retterath in exchange for $30 million. This transaction has been the subject of litigation since August 2013. In February 2020, the Iowa Supreme Court ruled that the unit purchase agreement was valid and enforceable. On April 13, 2020, the registrant paid Mr. Retterath $30 million in exchange for the membership units.
