Explanation of Responses:

1. Consists of 2,933 shares, as well as 1,424 unvested PSUs and 9,247 unvested RSUs granted from the Emergent Stock Incentive Plan. Each RSU and each PSU represents a right to receive one share of common stock. The PSUs vest upon achievement with respect to adjusted net income as a percentage of total GAAP revenue for the 2021 fiscal year, as certified by the Compensation Committee following the performance period. The RSUs vest in three equal installments annually on the day prior to the anniversary date of the grant.

2. Vests in three equal annual installments beginning on the day prior to the anniversary date of the grant.
