Item 2.02.  Results of Operations and Financial Condition.

On July 2, 2007, MEDecision, Inc. (the “Company”) issued a press release regarding its preliminary financial results for the quarter ended June 30, 2007.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
