Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
Sally Beauty Holdings, Inc. (the “Company”) has access to a $500 million secured asset-based revolving line of credit (the “ABL Facility”), which expires in July of 2022. Out of an abundance of caution, the Company has drawn $395 million on the ABL Facility as of March 23, 2020.
The ABL Facility is described in Note 11 of the Notes to Consolidated Financial Statements included in the Company’s Annual Report on Form 10-K for the year ended September 30, 2019, which description is incorporated by reference herein. That description is also qualified by reference to the full text of the ABL Facility, which was filed as Exhibit 10.3 to the Company’s Quarterly Report on Form 10-Q filed on September 11, 2019.
Item 7.01. Regulation FD Disclosure.
On March 24, 2020, the Company issued a press release providing a COVID-19 related update. Among other things, the press release announced the temporary closure to the public of customer-facing store operations at all stores in the U.S. and Canada due to COVID-19. Where permitted by regulation or local order, stores will transition to a curbside pick-up service.
In addition, the Company announced that it is withdrawing its prior full-year fiscal year 2020 financial guidance.
