Item 1.01 | Entry Into a Material Definitive Agreement |
On February 6, 2020, ADMA Biologics, Inc., a Delaware corporation (the “Company”), announced that it has priced its previously announced underwritten public offering pursuant to which the Company has agreed to issue and sell an aggregate of 23,500,000 shares (the “Firm Shares”) of its common stock, par value $0.0001 per share (the “Common Stock”), at a price to the public of $3.50 per share, for aggregate gross proceeds of approximately $82,250,000, before deducting underwriting discounts and commissions and estimated fees and expenses payable by the Company in connection with the offering (the “Offering”). Pursuant to the terms of the Underwriting Agreement (the “Underwriting Agreement”) entered into by and among the Company and the underwriters, for which Morgan Stanley & Co. LLC and Jefferies LLC are acting as Representatives (the “Underwriters”), the Company granted to the Underwriters a 30-day option to purchase up to an additional 3,525,000 shares of Common Stock (the “Option Shares”). The closing for the Firm Shares is expected to take place on or about February 11, 2020, subject to the satisfaction of customary closing conditions. The Firm Shares and the Option Shares offered by the Company in this transaction were registered under the Company’s existing shelf registration statement on Form S-3 (File No. 333-234107), which was declared effective by the Securities and Exchange Commission on October 15, 2019. The Underwriting Agreement contains customary representations, warranties and agreements by the Company, customary conditions to closing, indemnification obligations of the Company and the Underwriters, including for liabilities under the Securities Act of 1933, as amended, other obligations of the parties and termination provisions.
A copy of the form of Underwriting Agreement, dated February 6, 2020, is filed herewith as Exhibit 1.1 and incorporated herein by reference. Copies of the related press releases of the Company dated February 6, 2020 and February 6, 2020 announcing the Offering and the pricing of the Offering are filed herewith as Exhibits 99.1 and 99.2, respectively, and are incorporated herein by reference.
