Item 1.01 Entry Into a Material Definitive Agreement

On December 18, 2018, Catalyst Pharmaceuticals, Inc. (the “Company”) and Endo Ventures Limited (“Endo”) entered into that certain Development, License and Commercialization Agreement (the “Agreement”). Pursuant to the Agreement, Endo will further develop and commercialize generic Sabril^® (vigabatrin) tablets through Endo’s U.S. Generic Pharmaceuticals segment, doing business as Par Pharmaceutical. The Company will receive anup-front payment, milestones based on achievements of regulatory approvals, and a sharing of defined net profits upon commercialization.

The Agreement is attached to this Current Report on Form8-K as Exhibit 10.1 and is incorporated herein by reference. Portions of the Agreement have been omitted and filed separately with the SEC pursuant to a request for confidential treatment.
