Item 5.03 Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year
Fundstech Corp. (“Fundstech”) filed a Certificate of Amendment to its Certificate of Incorporation ("Amendment") with the Secretary of State of the State of Delaware on August 15, 2007. The Amendment was filed to increase the authorized common shares of Fundstech to 35,000,000 and adopt 5,000,000 shares of blank check preferred stock. The Amendment was approved by written consent of the stockholders holding a majority of the outstanding shares of common stock. The Amendment is attached hereto as Exhibits 3.1.
