Amendment and Restatement of Certificate of Incorporation
On April 21, 2015, Etsy, Inc. (“Etsy”) filed an amended and restated certificate of incorporation (the “Certificate”) with the Secretary of State of the State of Delaware in connection with the completion of the initial public offering of shares of its common stock. As described in the Registration Statement on Form S-1 (File No. 333-202497), Etsy’s board of directors and stockholders previously approved the Certificate to be effective upon the completion of the initial public offering.
A copy of the Certificate is filed with this Current Report on Form 8-K (this “Report”) as Exhibit 3.1 and is incorporated in this Report by reference.
Amendment and Restatement of Bylaws
Effective as of April 21, 2015, Etsy adopted amended and restated bylaws (the “Bylaws”) in connection with the completion of the initial public offering of shares of its common stock. Etsy’s board of directors and stockholders previously approved the Bylaws to be adopted in connection with, and to be effective upon, the completion of the initial public offering.
A copy of the Bylaws is filed with this Report as Exhibit 3.2 and is incorporated in this Report by reference.
