Item 2.02 Results of Operations and Financial Condition.
On November 5, 2019, Trupanion, Inc. (the "Company") is issuing a press release and holding a conference call regarding the Company's financial results for the quarter ended September 30, 2019. A copy of the Company's press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;
Compensatory Arrangements of Certain Officers.
On November 8, 2019, Thomas “TJ” Houk, the Company’s Chief Member Experience Officer and a named executive officer of the Company, will commence a leave of absence. The duration of the leave of absence is anticipated to last six months.
Item 8.01 Other Events
On November 1, 2019, the Company’s Board of Directors (the “Board”) approved a share repurchase program, pursuant to which we may repurchase up to $15 million of the currently outstanding shares of the Company’s common stock over a period of 12 months. Under the stock repurchase program, the Company intends to repurchase shares through open market purchases, privately-negotiated transactions, block purchases or otherwise in accordance with applicable federal securities laws, including Rule 10b-18 of the Exchange Act. While the Board has approved the program, any repurchase will be subject to quarterly assessments based on parameters we set. These include uses of capital in a given quarter and the stock price relative to the Company’s estimated intrinsic value.
The Company cannot predict when or if it will repurchase any shares of common stock as such stock repurchase program will depend on a number of factors, including constraints specified in any Rule 10b5-1 trading plans, price, general business and market conditions, and alternative investment opportunities. Information regarding share repurchases will be available in the Company’s periodic reports on Form 10-Q and 10-K filed with the Securities and Exchange Commission as required by the applicable rules of the Exchange Act.
