Item 1.01 Entry Into a Material Definitive Agreement
On April 26, 2012, Highwater Ethanol, LLC executed the Sixth Amendment of Construction Loan Agreement and the Fifth Amended and Restated Promissory Notes which amended our Construction Loan Agreement originally dated April 24, 2008 with First National Bank of Omaha, as administrative agent and collateral agent, and the Fourth Amended and Restated Promissory Notes executed on August 26, 2011. These amendments extend our line of credit until April 1, 2013 and modify the interest rate thereon to the three (3) month LIBOR rate plus 350 basis points with no minimum interest rate. These amendments are effective as of April 1, 2012.
