Item 1.01. Entry into a Material Definitive Agreement.
On January 5, 2007, World Energy Solutions, Inc. (the “Company”) entered into a Consulting Agreement with Patrick Bischoff, a current Director of the Company, for certain services related to strategic planning. In exchange for these services, the Company will pay Mr. Bischoff a fee of $18,000 per month and an additional fee if certain conditions are met. The term of the arrangement is through April 1, 2007.
A copy of the Consulting Agreement dated January 5, 2007 is attached to this Current Report on Form 8-K as Exhibit 99.1, and is incorporated herein by reference.
