OTHER INFORMATION

On October 27, 2011 the Company issued a press release announcing that on October 27, 2011 its Board of Directors had declared a 5-for-1 split of its common stock.  The split will be effectuated in the form of a stock dividend to shareholders of record on November 11, 2011; the expected effective pay date will be November 14, 2011 the day the shares are issued. There will not be a mandatory exchange of certificates.  The press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
