Explanation of Responses:

1. The award is in the form of restricted stock units, representing the contingent right to receive upon vesting shares of the Company's Common Stock. One-third of the shares subject to the award will vest on each anniversary of the award's grant date, provided that the Reporting Person remains a service provider through the applicable vesting date. All shares subject to the award are subject to acceleration upon a change of control involving the Issuer.
