Each restricted stock unit represents a contingent right to receive one share of common stock, par value $0.01 per share, of Gulfport Energy Corporation (the "Issuer") and was granted under the Issuer's equity incentive plan. The 3,824 restricted stock units reported on this form will vest in one installment on the earlier of the one-year anniversary of the grant date and the date of the 2017 Annual Meeting of Stockholders of the Issuer, in each case, if the non-employee director is in continuous service on such date.
