ConsultingAgreement
THISAGREEMENTmadeasofthe25thdayofMarch,2013
BETWEEN:
BigHProduction LTD. (The"Consultant")
-and-
NyxioTechnologiesCorp.abodycorporate (The"Company")
INCONSIDERATIONOFThemutualcovenants,termsandagreementsherein contained,andforothergoodandvaluable consideration, the receipt andsufficiency of which is herebyacknowledged, theparties heretoagreeas follows:
1)Services.TheConsultantshall,duringtheterm(asdefinedbelow)providethe followingservices(the"Services") to the Company, at such times as theCompany mayreasonably request:
1. Assistwithbusinessdevelopment;
2. AssistwithSECcompliancematters;
3. Liaisewithcorporatefinancegroups;
4. Liaisewithlegalandaccountingprofessionalsactingforthecompany;
5. Adviseonpotentialmergersandacquisitionsastheopportunitiesmay arise;
Itisexpresslyunderstood,agreedandwarrantedthatwithrespecttomattersdescribed inclauses(A)and(B)below the Consultant hasno obligation to provide services toor forthe Company, and during thetermofthis Agreementwill not provideservices toor for the Company, (A)in connection with the offeror saleof securities in any capital raisingtransaction and (B) directly orindirectlytopromote or maintain a market forthe Company's securities.

2. Compensation.
The CompanyshallpaytheConsultantthefollowing:Monthsoneandtwo$10,000.00 permonth.Monthsthreeandfour, $4000.00 per month.Months fivethroughtwelve, $3000.00 permonth. For a total compensation overthetwelvemonthperiod of $52,000.00.
TheCompanyshallreimbursetheConsultantforallreasonableexpensesincurredin connectionwiththisAgreement.
TheCompanyshallpaytotheConsultanttheamountowingforeachmonth,in advance.onthefirstdayofeach month oftheterm of this agreement.
Intheeventfundingisnotprocuredbyconsultant,andisnotreceivedbythecompany, thiscontractisnulland void.
3. Term
ThisAgreementshallcommenceasofthe25thdayofMarch,2013andshallremainin effectfor twelve months (The "Term").
4. ConfidentialInformation
TheConsultantacknowledgesthatpursuanttotheperformanceofitsobligationsunder thisAgreement,itmay acquire confidentialinformation. The Consultant covenants and agrees, during the Term and following anytermination of theAgreement, to hold and maintain allconfidentialinformation in trust and confidencefor the Company andnotto use confidential information otherthan for the benefit of the Company.
5. Warranties
TheCompanyrepresentsandwarrantsandacknowledgesasfollows:
(a)ThattheConsultantprovidessimilarservicestovariousothercompanies.
(b)Thatthereis nominimummonthlytimeallottedtotheCompaniesrequirementsby theConsultant.
(c)ThattheservicesprovidedtotheCompanywillbeprovidedasnecessary,inthe Consultantssolediscretion.

ThisAgreementsetsforththeentireAgreementbetweenthepartiesandmaynotbe amended other than in writing, executedbybothpartieshereto.
