As you may have seen reported this morning, Enbridge has announced that we have entered into a definitive merger agreement to combine with Spectra Energy. If you have not seen this morning’s announcement, the press release can be accessed online at http://www.enbridge.com/enbridge-and-spectra.
This is a truly transformational transaction that brings the scale, reach and market access to position us as a leader in the transportation of natural gas across North America. With this combination, we will create a premier North American energy company with liquids and natural gas pipeline infrastructure that will be unmatched in scale and diversity.

Opportunities:
1. | This transaction opens new markets for Enbridge, which means significant opportunities for our customers. Over the long-term, the combined asset base and expanded geographic footprint will give us access to opportunities and markets we do not currently access. |
2. | This transaction significantly increases our scale, both in Canada and in the U.S., extending our geographic reach and focus on growing infrastructure in unconventional producing regions. This gives us the opportunity to leverage the expanded footprint to provide our customers with added efficiency and flexibility across the natural gas value chain. |

The transaction is expected to close in the first quarter of 2017, subject to shareholder and certain regulatory and government approvals, and the satisfaction of other customary conditions.
