On December 8, 2020, Cboe Global Markets, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with BofA Securities, Inc., Barclays Capital Inc. and Deutsche Bank Securities Inc., as representatives of the several underwriters named in Schedule A thereto (collectively, the “Underwriters”), pursuant to which the Company has agreed to issue and sell to the Underwriters, and the Underwriters have agreed to purchase from the Company, subject to the satisfaction of the terms and conditions set forth in the Underwriting Agreement, $500 million aggregate principal amount of the Company’s 1.625% Senior Notes due 2030. The Underwriting Agreement contains customary representations, warranties and agreements by the Company and customary closing conditions, indemnification rights and termination provisions. The offering of the notes is being made pursuant to the Company's shelf registration statement on Form S-3 (File No. 333-235649).
